TERMS & CONDITIONS

Terms for responsible use

These terms establish the boundaries for using the Canis Viae website, accounts, organization portal, and ROOK services.

Effective: August 4, 2026

1. Agreement and order of precedence

These Terms & Conditions ("Terms") are an agreement between you and Canis Viae Systems & Technologies ("Canis Viae," "we," "us," or "our"). By accessing or using our website, account features, organization portal, or ROOK services, you agree to these Terms and our Privacy Policy.

If you use a service for an organization, you represent that you are authorized to act for that organization. An executed order, statement of work, license agreement, data-processing addendum, or government contract controls over conflicting language in these public Terms. These Terms do not replace mandatory procurement terms or an agency's legal obligations.

2. Eligibility and accounts

You must be legally capable of entering an agreement and authorized for the account or organization you access. You must provide accurate information, protect credentials, use individual accounts as intended, and promptly report suspected compromise. You may not share passwords, PINs, invitation links, enrollment files, device credentials, or administrative access except through an organization-approved process.

Canis Viae may suspend or restrict access when reasonably necessary to address nonpayment, expiration, unauthorized access, security threats, legal requirements, or material violations of these Terms. We will use reasonable efforts to provide notice when circumstances permit.

3. ROOK's purpose and limits

ROOK distributes organization-approved reference information to authorized personnel and is intended to complement existing agency systems. ROOK is not:

  • an emergency communication, 911, dispatch, CAD, records-management, criminal-history, evidence, or case-management system;
  • a substitute for agency policy, training, supervision, professional judgment, official source verification, or legal advice;
  • guaranteed to contain current, complete, or legally authoritative information; or
  • approved for criminal justice information or another regulated data class unless expressly authorized in a written agreement and approved configuration.

Do not rely on ROOK when delay, inaccuracy, loss of connectivity, device failure, or stale content could create an emergency or risk of death, injury, unlawful action, or material property damage. Users must verify operational and legal information through the agency's authoritative sources.

4. Organization responsibilities

Each customer organization is responsible for:

  • authorizing administrators, officers, computers, packages, releases, and recipients;
  • reviewing the accuracy, lawfulness, sensitivity, classification, accessibility, and distribution of its content;
  • maintaining appropriate endpoint, network, identity, backup, and personnel controls;
  • removing access when a person, role, or device is no longer authorized;
  • classifying public records, applying retention schedules and legal holds, and authorizing lawful disposition;
  • obtaining any notices, permissions, labor approvals, or consents required for its use; and
  • ensuring its use complies with law, policy, procurement requirements, and agency authority.

Remote revocation may not reach an offline computer immediately. Organizations must use their endpoint-management and physical-security procedures when immediate removal or recovery is required.

5. Customer content and prohibited data

The organization retains its rights in content it submits. It grants Canis Viae a limited right to host, process, reproduce, encrypt, distribute, back up, and otherwise handle that content only as reasonably necessary to provide, secure, support, and comply with the service and applicable law.

Unless a written agreement expressly permits it, you must not submit criminal justice information, criminal-history query results, active case or evidentiary material, protected health information, full payment-card data, Social Security numbers, account passwords, plaintext PINs, restricted security credentials, protected home addresses, or other information requiring controls the service has not been approved to provide.

You must not publish information protected by New Jersey's Daniel's Law or other address-confidentiality requirements. Contact contact@canisviae.com regarding protected information on a Canis Viae-controlled Internet posting.

6. Acceptable use

You may not:

  • access another person's account or another organization's information without authorization;
  • bypass access, licensing, enrollment, rate-limit, integrity, signing, revocation, or security controls;
  • probe, scan, disrupt, overload, introduce malware into, or misuse the service, except under a written authorized security-testing program;
  • reverse engineer or extract protected source code except where applicable law expressly prohibits that restriction;
  • use the service to violate law, civil rights, privacy, intellectual-property rights, court orders, or agency policy;
  • submit unlawful, deceptive, infringing, defamatory, or malicious material; or
  • misrepresent AI-generated, unofficial, or outdated material as verified agency guidance or authoritative law.

7. Location and AI-assisted features

Optional ROOK location processing is designed to occur locally on the device and is not intended for tracking, dispatch, evidence, or emergency use. Location results depend on device services, available reference data, and source accuracy.

AI-assisted features may generate incomplete, inaccurate, or inappropriate material. They cannot replace authorized human review. You are responsible for reviewing all output and source material before saving, publishing, distributing, or relying on it. Never send restricted information identified in Section 5 to an AI feature.

8. Licenses, renewals, invoices, and taxes

Paid features are licensed for the term, organization, devices, users, and scope shown in the applicable order, quote, invoice, or portal record. Unless an order expressly says otherwise, ROOK organization licenses do not renew automatically. A renewal request, quote, or purchase order does not extend a license by itself. A new term begins only after the required approval and verified payment process is completed.

An approved purchase order or issued invoice may provide a limited continuity period when shown in the portal or written agreement. If the paid term and any approved continuity period end, operational access may lock until renewal is completed. Expiration does not itself delete organization content or records.

Free trial and testing access never converts automatically into paid service. The first paid ROOK organization term includes the acceptance period stated in our Refund & Cancellation Policy. After that period, prepaid fees are normally nonrefundable, subject to the exceptions in that policy, applicable law, and any controlling written agreement.

You may provide notice of nonrenewal at any time. Unless a written agreement says otherwise, cancellation after the acceptance period takes effect at the end of the current paid term and does not shorten access already purchased. You are responsible for authorized taxes other than taxes based on Canis Viae's net income.

9. Intellectual property and feedback

Canis Viae and its licensors retain all rights in the website, ROOK software, service design, documentation, branding, and other materials we provide, excluding customer content and third-party public materials. A subscription or license grants only the limited, nonexclusive, nontransferable right to use the applicable service during the authorized term.

If you voluntarily provide suggestions or feedback, you grant Canis Viae a perpetual, worldwide, royalty-free right to use it to operate and improve our products without identifying you publicly. This does not transfer ownership of your confidential information or organization content.

10. Third-party services and source material

The service may rely on or link to third-party platforms, operating-system features, payment processors, public records, statutes, maps, or agency-provided sources. Third-party services and materials are governed by their own terms and may change or become unavailable. Canis Viae does not control and is not responsible for third-party systems, authoritative source updates, or customer-provided material.

11. Availability, changes, and support

We work to provide a secure and reliable service but do not promise uninterrupted or error-free operation. Maintenance, security events, Internet or provider failures, customer configuration, device state, and circumstances outside our reasonable control may affect availability. Features described as testing, preview, beta, future, or in development may change or be withdrawn.

Support channels are not monitored as emergency services. Do not submit emergencies, dispatch requests, active incident reports, or time-sensitive operational communications through the website, feedback form, or support email.

12. Disclaimers

To the fullest extent permitted by law, the website and services are provided "as is" and "as available." Canis Viae disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that content is complete, current, legally sufficient, or suitable for a particular operational decision. Rights that cannot lawfully be disclaimed remain unaffected.

13. Limitation of liability

To the fullest extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or data, even if advised that such loss is possible. Canis Viae's aggregate liability arising from these Terms will not exceed the amount paid for the affected service during the twelve months before the event giving rise to the claim, or one hundred dollars if no fee was paid.

These limitations do not apply where prohibited by law and do not modify liability terms in an executed customer agreement. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

14. Termination

You may stop using the public website at any time. Organization accounts and paid services may be terminated as provided in the applicable agreement. Upon termination, access rights end, but provisions concerning payment, ownership, confidentiality, records, disclaimers, liability, dispute resolution, and other provisions that by their nature should survive will remain effective.

Content return, export, preservation, and deletion are governed by the applicable agreement, legal holds, public-record duties, and our Privacy Policy. Termination does not authorize destruction of records that must legally be retained.

15. Governing law and disputes

Unless an executed agreement or mandatory government-procurement rule provides otherwise, these Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any court proceeding must be brought in a state or federal court with jurisdiction in New Jersey, and each party consents to that venue. Nothing in these Terms limits rights or remedies that cannot lawfully be waived.

16. Changes and general terms

We may update these Terms to reflect service or legal changes. We will post revised Terms with a new effective date and provide additional notice when required. Material changes apply prospectively. Continued use after the effective date constitutes acceptance where permitted by law.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or sale of relevant assets.
